- About the Role
- CoreWeave is seeking a dynamic Senior Counsel, Capital Markets, to join our Legal and Government Affairs team. If hired, you will support a broad range of corporate transactional matters, including capital markets transactions (public and private debt and equity offerings), as well as M&A and strategic investments. Reporting to the Associate General Counsel - Capital Markets, you will partner closely with key stakeholders, including Corporate Development, Treasury, Tax, Accounting, and Finance.

In This Role, You Will
- Support a range of complex corporate transactional matters, including capital markets transactions, M&A, and strategic investments.
- Draft, negotiate, and review a broad range of transaction documentation, provide advice on deal structuring and strategy, and conduct and support due diligence and ongoing compliance.
- Partner with Corporate Development and other cross-functional teams to execute transactions.
- Support legal and other departments in the management of post-closing obligations.
- Work collaboratively to prioritize business objectives and support overall company success.
- Work efficiently with outside counsel.
- Support other internal legal initiatives and projects, as needed.
- Who You Are:
- J.D. from an ABA accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).
- 5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M&A, and securities.
- In-house experience at a high-growth tech company or publicly traded company, with relevant prior experience at a top law firm.
- Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously.
- Strong interpersonal skills, including the ability to communicate and collaborate effectively with a wide variety of stakeholders and business partners

- Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver.
- Excellent drafting, project management, and legal interpretation skills.

- The base salary range for this role is $157,000 to $210,000. The starting salary will be determined based on job-related knowledge, skills, experience
- market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards
- a comprehensive benefits program (all based on eligibility).
