In the Legal & Compliance division, we assist the Firm in achieving its business objectives by facilitating and overseeing the Firm’s management of legal, regulatory and franchise risk. What you’ll do in the role: Morgan Stanley Services Group, Inc. is seeking a Vice President, Attorney Enterprise in New York, New York to advise on global legal and regulatory requirements, trends, and developments for a broad range of technology and data-related matters, including artificial intelligence, emerging technologies, recordkeeping, electronic communications, social media, intellectual property, cybersecurity, privacy, data protection, outsourcing, cloud computing, and operational resilience.

Provide strategic legal counsel on the structuring, use, deployment and maintenance of technologies within the firm, ensuring compliance with applicable technology laws and regulations across US, EU, APAC, and other major jurisdictions. Advise on global legal and regulatory obligations for records retention, balancing litigation and discovery risk with cross-border requirements.

Review technology applications and systems, including productivity and collaboration tools with electronic communications capabilities to determine archiving requirements and regulatory scope. Act as global lead for the development and implementation of firmwide social media governance, including acceptable use, policies, processes, standards, and the set-up of new social media programs and corporate social media accounts.

Lead global advocacy efforts with industry groups and regulators, and support regulatory enquiries and investigations, regarding recordkeeping policies and rulemaking initiatives. Provide strategic legal input on acquisitions, post-acquisition integration, divestitures, and related matters involving data, recordkeeping, and technology use.

Draft and negotiate client and vendor agreements and create relevant house positions and templates involving technology and data, including artificial intelligence, software, analytics, recordkeeping, electronic communications, and social media platforms.

Advise on the Firm’s artificial intelligence strategy, deployments, and governance, including the establishment of guiding principles and compliance frameworks, user guidelines, terms and conditions, consent language, disclaimers and disclosures.

Advise stakeholders on issues relating to the development and integration of artificial intelligence applications into Firm products and services, including enterprise and platform risk and appropriate mitigation strategies. Advise on firmwide enterprise technology and data governance policies, procedures, and training programs.

Collaborate with global Business Units, Coverage Legal colleagues and Technology, Sourcing, Risk and Compliance partners to resolve complex technology and data-related legal issues. Build and maintain strong relationships with internal and external clients, stakeholders and partners, across supported businesses globally.

Telecommuting permitted up to 1 day per week. What you’ll bring to the role: -Requires a Master’s in Law, Legal Studies, or a related field -Requires three (3) years of experience in the position offered or three (3) years as a Vice President, Director, Legal & Compliance, Tech & Data Legal Counsel, or a related role. - Requires Three (3) years of experience with the following skills: Technology and data-related in-house legal experience at a Global Systemically Important Financial Institution (G-SIFI); Advising multijurisdictional technology and data-related laws, including emerging technologies, intellectual property, cybersecurity, privacy, data protection, outsourcing, cloud computing, operational resilience, and recordkeeping; Applying the laws on an entity-by-entity basis taking into account the nuances of regulated and non-regulated entities as well as material and non-material entities; Applying regional regulations applicable to financial services firms, including those issued by US Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), European Union (EU), European Banking Authority (EBA), Hong Kong Securities and Futures Commission (SFC), Hong Kong Monetary Authority (HKMA), Monetary Authority of Singapore (MAS), Reserve Bank of India (RBI), Securities and Exchange Board of India (SEBI), Korea Financial Services Commission (FSC), Korea Financial Supervisory Service (FSS), Japan Financial Services Agency (FSA), China Securities Regulatory Commission (CSRC), China Banking and Insurance Regulatory Commission (CBIRC), Australian Securities and Investments Commission (ASIC) and Australian Prudential Regulation Authority (APRA); Technology applications and systems used by financial services firms, including productivity and collaboration tools, mobile applications, cloud computing platforms, electronic communications, and social media; Experience with technology and data-related commercial vendor and client transactions, including the creation of regulatory compliant contract templates and house positions; Governance and policy development experience, including leading cross-functional working groups and creating and enhancing policies, procedures, processes and training programs for technology and data compliance across multiple jurisdictions; Performing gap analyses and hosting workshops to identify and solution issues relating to existing governance frameworks; Identifying and working with relevant teams to agree roles and responsibilities as part of governance frameworks; Developing and streamlining processes to be adopted globally by cross-functional stakeholders; Project planning and managing implementation of new laws and regulations by mapping out legal requirements and actions for compliance and working with relevant teams to execute the compliance and remediation measures; Post-acquisition integration legal work including, ensuring strategic IP transition, aligning contract templates with firm standards, reviewing inter-affiliate agreements, and working with cross-functional stakeholders to execute Legal Day One deliverables; Coordinating with multijurisdictional Coverage Legal teams on contract negotiations and legal reviews of technology deployments; and Managing multiple complex multi-jurisdictional projects simultaneously, ensuring consistent follow-through and timely delivery.

However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
