We're seeking someone to join our team as an Associate in the Legal and Compliance division. Legal Field Services is a group consisting of 2 attorneys and eight paralegals based in New York. Field Services is a part of Branch Advisory Legal, which in turn is a group within the Legal and Compliance Division of Morgan Stanley.
The offshore Legal and Compliance Department in Mumbai is a department of the Legal and Compliance Division and provides support services to the Legal and Compliance Division. This role will form part of offshore Legal and Compliance Department in Mumbai and Legal Field Services.
The role will have a dual reporting line to a manager in the offshore Legal department in Mumbai and to the Manager of Legal Field Services. In the Legal & Compliance division, we assist the Firm in achieving its business objectives by facilitating and overseeing the Firm's management of legal, regulatory and franchise risk.
This is an Associate position within the Attorney - Enterprise in Private Banking Group Legal (PBG Legal) that serves as the legal advisor to Morgan Stanley's Private Banking Group, supporting the development, distribution, and administration of cash management and lending solutions offered through Morgan Stanley's banking platforms.
The team provides strategic legal counsel on product governance, regulatory compliance, contractual arrangements, and risk mitigation to help deliver seamless banking and financing solutions to Wealth Management clients and their families Since 1935, Morgan Stanley is known as a global leader in financial services, always evolving and innovating to better serve our clients and our communities in more than 40 countries around the world.
What you'll do in the role: Review and analyze Powers of Attorney (POAs) to assess agent authority and applicable legal requirements for client accounts. Provide legal guidance to branch personnel on POA-related matters and permissible agent actions.
Address branch inquiries, conduct legal research, and prepare summaries of agent powers and legal implications. Identify legal risks, restrictions, and documentation issues associated with POAs Conduct legal due diligence on trusts, LLCs, partnerships, and other entities to assess governance, authority, execution requirements, and lending eligibility.
Evaluate borrowing, asset pledge, and third-party pledgor authority, identifying legal restrictions, documentation gaps, and transactional risks. Prepare legal analyses, review worksheets, and risk assessments to support lending and client transactions.
Review Private Banking product marketing materials to ensure compliance with legal, regulatory, disclosure, and governance requirements. Partner with Legal, Compliance, Product, Marketing, and Business stakeholders to provide legal guidance, manage approvals, mitigate risks, and drive process improvement initiatives.
What you'll bring to the role: Qualified lawyer LLB (LLM will be an added advantage) At least 2 years of post qualification experience Solid track record working in a professional environment Knowledge In-depth understanding of legal documents and terminologies Should exhibit comfort working with technology and the ability to learn and display proficiency on technical systems and programs.
Proficient with MS Office (Excel proficiency would be an added advantage) Knowledge of document automation, contract analysis and other legal tech software an advantage Excellent verbal and written English communication skills - ability to effectively correspond with various groups and senior professionals over email and the telephone Pragmatic and analytical problem solving skills - candidate needs to consistently apply sound judgment Attention to detail Experience in stakeholder management with excellent interpersonal skills and the ability to work effectively with colleagues across regions and Business Units Team player who can successfully manage multiple projects and priorities Ability to think independently, form opinions and make decisions Ability to anticipate ahead of time and escalate issues as appropriate Ability to identify and recommend process efficiencies Must be able to maintain a high level of organization under pressure Successfully meet established deadline requirements - display efficient time management skills Possess the ability to research and resolve issues independently Have the ability to effectively handle a fast-paced environment Coverage Monday to Friday from EDT (March to November) - 11:30 AM to 8:30 PM IST EST (November to March) - 12:30 PM to 9:30 PM IST Flexibility on standard working hours for time sensitive matters (including India Public Holidays) is expected; Periodic calls with US manager and team members WHAT YOU CAN EXPECT FROM MORGAN STANLEY: At Morgan Stanley, we raise, manage and allocate capital for our clients – helping them reach their goals.
