Job Summary: PayPal is seeking a seasoned capital markets attorney to join its Legal team. This role reports to the Vice President, Consumer Financial Services Legal, and will serve as the primary legal advisor on capital markets transactions supporting PayPal's consumer lending and credit businesses, including its Buy Now Pay Later, credit card, and working capital products offered in the US and internationally.

The ideal candidate brings deep transactional experience, strong securities law fundamentals, and the commercial judgment to advise effectively at the intersection of fintech, consumer finance, and capital markets

Job Description

Essential Responsibilities: Provide strategic legal advice and support to senior management, influencing business strategy an decision making. Anticipate regulatory and legal risks, and proactively design strategies to manage them. Perform legal and regulatory compliance risk assessments, propose creative solutions where applicable, and help advance business objectives.

Manage escalations, collaborate across other teams and develop solutions to enable business partners to achieve their goals. Develop a strong rapport and working relationship with business counterparts across the enterprise to help drive the delivery of effective legal services.

Ensure compliance with relevant laws and regulations, leading the adoption of cutting-edge legal technologies and best practices. Manage legal risks and safeguard PayPal's legal interests, developing forward-looking risk management strategies.

Provide key inputs as an industry leader and expert, staying ahead of legal trends and influencing industry standards

Minimum Qualifications

  • 10+ years relevant experience and a Juris doctorate degree OR Any equivalent combination of education and experience.

  • What You'll Do Serve as lead counsel and thought leader on debt and structured finance transactions, including asset-backed securitizations, warehouse lending facilities, forward flow agreements
  • other capital markets executions supporting PayPal's global consumer and merchant credit portfolios.
  • Advise on securities law compliance in connection with registered and exempt offerings, including Rule 144A/Reg S transactions and Regulation AB compliance for ABS issuances.
  • Partner closely with Treasury, Finance, Risk, and the broader Legal organization to structure and execute financings that support PayPal's balance sheet strategy and credit product growth.
  • Counsel on disclosure obligations, reporting requirements, and ongoing securities compliance matters applicable to PayPal as a public company.
  • Manage relationships with outside counsel, rating agencies, trustees, underwriters, and other transaction counterparties
  • Coordinate with local counsel in relevant international jurisdictions Monitor regulatory developments affecting capital markets activity in consumer finance, including SEC rulemaking, CFPB guidance, state-level and international developments relevant to loan sales and securitization.
  • Support diligence and structuring on potential acquisitions, joint ventures, or strategic partnerships involving consumer credit assets or fintech-bank arrangements.
  • Identify and manage legal risk across the transaction lifecycle, from term sheet through closing and ongoing reporting obligations.
  • Develop internal legal playbooks, template documentation, and scalable processes for capital markets transactions.
  • What We're Looking For J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction. 10+ years of Capital Markets legal experience, with meaningful time at a top-tier law firm focused on structured finance, ABS
  • ideally supplemented by in-house experience at a bank, fintech, marketplace lender, payments platform
  • financial services company.
  • Demonstrated experience with consumer loan securitization or asset-backed finance, including familiarity with credit card ABS, personal loan ABS, or BNPL-related financing structures.
  • Working knowledge of the regulatory environment governing fintech-bank partnerships, including bank partnership lending models and the role of originating bank partners in the capital markets context.
  • Strong drafting skills and experience managing complex, multi-party transaction processes under time pressure.
  • Ability to translate sophisticated legal and structural analysis into clear, actionable advice for business, legal and finance stakeholders.
  • Demonstrated ability to manage complex, multi-jurisdictional transactions; international experience is a plus.
  • Collaborative, low-ego working style with the confidence to operate independently and push back constructively when warranted.
